Coach Agreement

This Coach Agreement ("Agreement") is entered into between TribeGen FZ-LLC (operator of the TribeGen platform, "we", "us", "TribeGen") and you, the individual fitness professional ("Coach", "you") who lists services on the Platform. By completing coach onboarding or accepting a booking on TribeGen you confirm that you have read, understood and agree to be bound by this Agreement, the Terms & Conditions, the Cancellation Policy and the Refund Policy.
1. Independent contractor status
You provide coaching services on the Platform as an independent contractor. Nothing in this Agreement creates an employer–employee, partnership, joint venture, agency or franchise relationship between you and TribeGen. In particular:
- You are not entitled to wages, salary, gratuity, overtime, paid leave, sick leave, end-of-service benefits, pension, health insurance, or any other employment benefit from TribeGen.
- You determine your own working hours, availability, pricing (within the limits set on the Platform), session structure, training methodology, and clientele.
- You supply your own equipment, attire, music, programming, and any consumables used in sessions, unless the client has provided a venue and equipment.
- You are solely responsible for your own income tax, VAT (if you become VAT-registered), social contributions, work permits, residence visas, and any other regulatory filings in the jurisdiction in which you operate.
- You may offer services through other platforms or directly to clients, provided you do not solicit TribeGen clients off-platform in breach of Section 6.
- TribeGen does not supervise the technical content of your training, does not direct how you deliver sessions, and does not guarantee you any minimum number of bookings or income.
2. Eligibility and credentials
To list services on TribeGen you must:
- Be at least 21 years old and legally permitted to perform paid coaching work in your jurisdiction (including holding any required UAE residency, freelance permit, or trade licence where applicable).
- Hold a current, internationally recognised personal-training or specialty certification (e.g. NASM, ACE, ACSM, ISSA, REPs UAE, EREPS, or equivalent) and upload proof during onboarding.
- Hold valid first-aid / CPR certification.
- Carry, or obtain before your first session, professional liability / public liability insurance appropriate to in-person fitness coaching. TribeGen may require proof.
- Disclose any criminal conviction, civil judgment, professional sanction, or safeguarding complaint relevant to working with clients.
- Pass any background, identity, or reference checks TribeGen reasonably requests.
You must keep all credentials current and re-upload renewals before they expire. TribeGen may suspend your profile if any required document lapses.
3. Scope of services — what coaches may offer
TribeGen is a marketplace for lawful fitness and wellness coaching. Permitted services include, but are not limited to:
- 1:1 personal training (strength, conditioning, HIIT, functional, calisthenics, mobility).
- Small-group and group classes (yoga, Pilates, boxing fundamentals, bootcamp, running, swimming technique).
- Sport-specific conditioning where you are appropriately qualified.
- Pre/post-natal training where you hold a recognised specialty certification.
- Movement assessments, programming, and general lifestyle / habit coaching within the scope of a certified personal trainer.
- Recovery modalities you are qualified to deliver (e.g. mobility, stretching, breathwork).
4. Prohibited services and conduct
You must not offer, advertise, deliver, or facilitate any of the following through TribeGen, whether on-platform or to clients you met via the Platform:
- Medical, clinical, or diagnostic services. No diagnosing injuries or illness, prescribing rehabilitation for acute injuries, physiotherapy, chiropractic, osteopathy, sports medicine, IV therapy, injections, blood tests, or any service that requires a medical, allied-health, or DHA/MOH/DOH licence you do not hold.
- Nutrition prescription. You may give general healthy-eating guidance, but you must not prescribe individualised meal plans, calorie/macro plans, or therapeutic diets unless you are a UAE-licensed clinical dietitian or registered nutritionist and have uploaded the licence to TribeGen.
- Supplements, peptides, hormones, SARMs, performance-enhancing drugs, or any controlled substance. Selling, supplying, recommending by brand, or facilitating the purchase of these is prohibited and will result in immediate removal.
- Mental-health therapy or counselling. No psychotherapy, trauma work, or treatment of eating disorders, depression, anxiety, or addiction. Refer clients to a licensed professional.
- Massage or bodywork beyond brief assisted stretching, unless you hold a UAE massage-therapy licence and have uploaded it.
- Adult, sexual, romantic, escort, or "companionship" services of any kind. TribeGen is a fitness platform; any sexualised contact, suggestive messaging, or solicitation results in permanent ban and may be reported to authorities.
- Services to minors without a parent/guardian present and without explicit parental consent recorded in the booking notes. Coaches must not train under-16s 1:1 in private settings.
- Training in unsafe environments (clients' bedrooms, hotel rooms, or any location that compromises safety or dignity for either party). Use approved gyms, studios, parks, or the client's home in shared/common areas.
- Activities requiring a permit you do not hold (e.g. open-water swimming guiding, scuba, climbing instruction, combat-sports sparring without a sanctioned coaching certificate, firearms training).
- Discrimination, harassment, or unsafe coaching on the basis of gender, nationality, religion, disability, sexuality, body size, or any protected characteristic.
- Fraudulent activity: fake bookings, fake reviews, payment circumvention, identity misuse, or use of another coach's certifications.
Violation of this Section is a material breach and authorises TribeGen to suspend or terminate your account immediately, withhold related earnings pending investigation, and report the matter to law enforcement or regulators where required.
5. Health, safety and duty of care
- Conduct a basic readiness screening (PAR-Q or equivalent) before the first session and refer clients with red-flag conditions to a doctor before training.
- Programme within the client's stated abilities, injuries, and goals. Progress load conservatively.
- Maintain a safe environment: inspect equipment, weather-check outdoor sessions, keep a basic first-aid kit, and know the emergency number (999 in UAE) for the venue.
- Stop a session if the client shows signs of distress, dizziness, chest pain, or injury, and seek medical help where appropriate.
- Report any serious incident (injury requiring medical attention, safeguarding concern, allegation of misconduct) to TribeGen at contact@tribegen.ae within 24 hours.
6. Platform exclusivity and anti-circumvention
You are free to coach off-platform clients you sourced independently. However, for any client you first meet through TribeGen:
- All bookings, communications, and payments must run through the Platform for at least 12 months after the first booking.
- You must not solicit or accept off-platform payment, "cash on the side", or direct bank transfer from a TribeGen-introduced client during that period.
- You must not share personal payment details, alternative booking links, or other-platform handles with TribeGen-introduced clients during that period.
Breach entitles TribeGen to charge a circumvention fee equal to twelve (12) months of the affected client's average monthly spend, and to terminate your account.
7. Pricing, fees and payouts
- You set your own hourly rate and package prices within the Platform's permitted ranges.
- TribeGen charges a marketplace commission of 20% on each completed transaction. Your payout is the client price less this commission and any refunds, chargebacks, or reversals processed by Stripe.
- All payments and payouts are administered by Stripe. Funds are released according to Stripe's standard payout schedule and any applicable holds for refund and dispute coverage.
- You must complete Stripe's identity verification and provide valid payout details before earnings can be released.
- You are responsible for issuing any tax invoices required in your jurisdiction.
8. Cancellations, no-shows and disputes
- Clients may cancel free of charge until 24 hours before the session. Inside that window, the cancellation policy applies.
- Repeated late cancellations or no-shows (3+ within 30 days) trigger automatic suspension pending review.
- Refunds, chargebacks, and payment disputes are handled by Stripe under its standard policies. Where Stripe reverses a charge, your share of that transaction is reversed accordingly.
9. Content and intellectual property
- You retain ownership of programming, photos, videos and bio content you upload, and you grant TribeGen a worldwide, royalty-free licence to host, display, and promote that content on and off the Platform for the purpose of operating and marketing TribeGen.
- You confirm you have the right to use any third-party material you upload (music, images, logos).
- You will not use TribeGen trademarks, logos, or branding except as permitted by our brand guidelines.
10. Confidentiality and client data
- You will treat all client information (contact details, health information, goals, body metrics, messages) as confidential and use it only to deliver the booked services.
- You will comply with applicable UAE data-protection laws (PDPL) and our Privacy Policy.
- You will not export, scrape, or share client data, and you will delete personal data you hold off-platform when a client requests it or when the relationship ends.
11. Insurance and indemnity
You agree to indemnify and hold harmless TribeGen FZ-LLC and the TribeGen platform from any claim, loss, damage, fine, or legal cost arising out of (a) your provision of services, (b) your breach of this Agreement, the Terms, or applicable law, (c) injury or damage caused to a client or third party in connection with a session, or (d) any tax liability attributable to your earnings. TribeGen's total liability to you in connection with the Platform is limited to the service fees you paid us in the 30 days preceding the claim.
12. Suspension and termination
- You may close your coach account at any time from your profile settings. Active bookings must be completed or refunded.
- TribeGen may suspend or terminate your account immediately for breach of this Agreement, Section 4 (Prohibited services), safety concerns, fraud, repeated low ratings, or for prolonged inactivity.
- On termination: scheduled sessions are cancelled and refunded; earnings clear of the escrow window are paid out; pending earnings under dispute are held until the dispute is resolved.
13. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be notified to active coaches by email or in-app at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
14. Governing law and disputes
This Agreement is governed by the laws of the United Arab Emirates. Any dispute is subject to the exclusive jurisdiction of the Courts of Ras Al Khaimah, UAE (RAKEZ free-zone jurisdiction), without prejudice to any mandatory consumer or labour-protection rules that may apply.
